These Terms of Service (“Terms”) govern your access to and use of the TBC website, products, services, and any purchases made directly from us (collectively, the “Services”).
The Services are operated by TBC Beauty Holdings Inc., (“TBC,” “we,” “us,” or “our”).
By accessing our website, placing an order, or otherwise using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.
1. Eligibility
By using our Services or placing an order, you represent that you are at least the age of majority in your state or jurisdiction of residence and have the legal capacity to enter into a binding agreement.
You may not use our products or Services for any unlawful or unauthorized purpose.
2. Products and Product Information
We make reasonable efforts to accurately display and describe our products, including their colors, appearance, features, ingredients, sizes, and other characteristics.
However, colors and appearance may vary depending on your device, screen settings, lighting, application, skin tone, and other factors. We do not guarantee that your device's display will accurately represent the actual color or appearance of a product.
Product descriptions, pricing, availability, packaging, and other information may be changed at any time without notice.
3. Orders
All orders are subject to acceptance and product availability.
We reserve the right, to the extent permitted by law, to refuse, limit, or cancel an order, including orders that we reasonably believe involve fraud, unauthorized resale, incorrect pricing or product information, payment issues, or misuse of our Services.
If we cancel an order after payment has been collected and before the order has been fulfilled, we will refund the amount collected for the cancelled portion of the order.
Submission of an order does not guarantee acceptance of that order.
4. Prices and Payment
Prices are displayed in U.S. dollars unless otherwise stated.
Prices, promotions, discounts, and product availability are subject to change without notice. Applicable taxes, shipping charges, and other charges will be displayed at checkout when required.
You represent that the payment information you provide is accurate and that you are authorized to use the selected payment method.
5. ALL SALES FINAL — NO RETURNS, REFUNDS OR EXCHANGES
Except where otherwise required by applicable law:
We do not accept returns. We do not offer exchanges. We do not issue refunds for completed purchases.
Please carefully review your order, including the product, shade, color, quantity, and shipping information, before completing your purchase.
Our All Sales Final policy applies to, among other things:
- change-of-mind purchases;
- ordering an incorrect product, color, or shade;
- dissatisfaction with a selected color or shade;
- duplicate or accidental orders that have already entered processing or fulfillment;
- personal preference;
- products that have been opened or used; and
- products purchased during promotions, sales, or with discount codes.
Nothing in this policy is intended to eliminate or restrict any right or remedy that cannot legally be waived under applicable law.
Damaged, Defective, Incorrect or Missing Items
Our All Sales Final policy does not prevent you from contacting us if your order arrives damaged, defective, incorrect, or materially different from what you ordered, or if an item is missing from your shipment.
Contact us promptly at customersupport@tonesbycocoa.com with your order number and sufficient information regarding the problem. We may request photographs, packaging information, or other reasonable documentation necessary to investigate the claim.
After reviewing the claim, TBC will provide any remedy required by applicable law and may otherwise determine an appropriate resolution in its discretion.
Reporting a damaged, defective, incorrect, or missing product does not automatically entitle a customer to a refund or exchange except where required by applicable law.
6. THIRD-PARTY RETAILER AND MARKETPLACE PURCHASES
These return, refund, and exchange terms apply to purchases made directly from TBC.
Products purchased through another authorized third-party retailer, marketplace, or sales channel are subject to the applicable retailer's policies and procedures.
Returns, refunds, exchanges, cancellations, and other customer-service matters relating to a purchase made through a third-party retailer must be handled in accordance with that retailer's applicable policies.
7. Order Changes and Cancellations
Orders may begin processing shortly after they are submitted.
We do not guarantee that an order can be modified or cancelled after it has been placed. If an order has already entered processing, fulfillment, or shipment, it may no longer be eligible for cancellation.
Please review all order information carefully before submitting your purchase.
Nothing in this section limits any cancellation right required by applicable law.
8. Shipping and Delivery
Shipping estimates are estimates only unless expressly stated otherwise.
Once an order has shipped, delivery may be affected by circumstances outside our reasonable control, including carrier delays, weather, service disruptions, and incorrect or incomplete delivery information supplied by the customer.
Customers are responsible for providing a complete and accurate shipping address when placing an order.

9. Promotions and Discount Codes
Promotions, sales, discount codes, gifts with purchase, and other special offers may be subject to additional terms.
Unless otherwise stated, promotional offers may not be combined and have no cash value.
We reserve the right to modify or cancel promotions to the extent permitted by applicable law and to reject use of a promotion where we reasonably determine that fraud, abuse, manipulation, or a violation of the promotion's terms has occurred.
10. Personal Use and Resale
Unless otherwise authorized by us, products purchased through our website are intended for personal use.
We reserve the right to limit quantities, reject orders, or cancel orders that we reasonably believe are being placed for unauthorized commercial resale, fraudulent activity, or other improper purposes.
11. Intellectual Property
The TBC name, trademarks, logos, product names, product designs, photographs, graphics, text, videos, website content, and other materials owned by TBC Beauty Holdings Inc. are protected by applicable intellectual-property laws.
Except as expressly permitted by us, you may not reproduce, copy, distribute, modify, publish, display, sell, license, exploit, or create derivative works from our proprietary content without our prior written permission.
12. User Content and Reviews
If you submit a review, photograph, comment, testimonial, or other content to us or through our Services, you represent that you have the right to submit that content and that it does not violate applicable law or the rights of another person.
You may not submit content that is fraudulent, defamatory, threatening, unlawful, infringing, or intentionally misleading.
To the extent permitted by law, you grant TBC Beauty Holdings Inc. a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and distribute content that you voluntarily submit to us in connection with operating, promoting, and improving our business and products.
13. Prohibited Uses
You may not use our website or Services to engage in fraudulent or unlawful activity; interfere with the operation or security of our website; introduce malicious software or code; impersonate another person; infringe intellectual-property rights; attempt unauthorized access to our systems; scrape or harvest information through unauthorized automated means; or otherwise misuse our Services.
We may restrict or terminate access to our Services where we reasonably believe these Terms have been violated.
14. Third-Party Services and Links
Our Services may contain links to or integrate with third-party websites, payment processors, social networks, shipping providers, or other services.
Those third parties may operate under their own terms and privacy practices. Except to the extent required by law, we are not responsible for third-party websites or services that we do not own or control.
15. SMS AND MARKETING COMMUNICATIONS
If you separately opt in to receive marketing text messages from Tones By Cocoa, your participation in our SMS program is governed by our SMS Terms & Conditions and applicable privacy disclosures.
Consent to receive marketing text messages is not a condition of purchase.
You may withdraw your consent to receive marketing text messages as provided in the applicable SMS Terms.

Our collection and use of personal information is governed by our Privacy Policy and applicable law.

17. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR WEBSITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
WE DISCLAIM WARRANTIES THAT MAY LEGALLY BE DISCLAIMED, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
THIS SECTION DOES NOT DISCLAIM OR LIMIT WARRANTIES, CONSUMER RIGHTS, OR REMEDIES THAT CANNOT LAWFULLY BE DISCLAIMED OR LIMITED.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TBC BEAUTY HOLDINGS INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO YOUR USE OF THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR AGGREGATE LIABILITY ARISING FROM A PARTICULAR PURCHASE WILL NOT EXCEED THE AMOUNT YOU PAID DIRECTLY TO TONES BY COCOA FOR THE PRODUCT GIVING RISE TO THE CLAIM.
These limitations do not apply to liability that cannot legally be excluded or limited.
19. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless TBC Beauty Holdings Inc. and its officers, directors, employees, and agents from third-party claims, damages, liabilities, and reasonable costs arising from your unlawful misuse of our Services or material violation of these Terms.
20. Governing Law
These Terms will be governed by the laws of the State of Tennessee, without regard to its conflict-of-law principles, except where applicable law requires otherwise.
Any provision of these Terms that is determined to be invalid or unenforceable will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.
21. Changes to These Terms
We may update these Terms periodically.
When we make changes, we may update the “Last Updated” date above. Changes will apply prospectively from their effective date unless applicable law requires otherwise.
Your continued use of our Services following the effective date of revised Terms constitutes acceptance of those Terms to the extent permitted by law.
